Terms of Use
These Terms of Use ("Terms") govern your access to and use of www.1-compliance.com and the 1-Compliance website compliance scanner and related services (the "Services"), provided by 1-Compliance LLC, a New York limited liability company ("1-Compliance," "we," "us"). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of a company, you represent that you have authority to bind it. You are responsible for the accuracy of information you provide and for any activity under your account or payment details.
2. The Services
The scanner reviews publicly accessible parts of a website and reports observations about areas such as privacy, security, cookie consent, accessibility, and legal-risk indicators. We may change, suspend, or discontinue any part of the Services at any time.
3. Important Disclaimer: Not Legal Advice
Scan results and all content are provided for general informational purposes only. They are not legal advice, do not create an attorney-client relationship, and are not a certification, audit, or guarantee that any website complies, or does not comply, with any law, regulation, or standard (including GDPR, CCPA/CPRA, ADA, WCAG, or others). Automated tools can produce false positives and false negatives and cannot assess every requirement. You are solely responsible for your compliance decisions and should consult a qualified attorney or professional before relying on results.
4. Authorization to Scan
You may submit only websites that you own or are authorized to scan. By submitting a URL you represent that you have that authority. Our scanner is designed to access only publicly available content and does not attempt to bypass authentication or security controls.
5. Acceptable Use
You agree not to: violate any law or third-party right; scan sites without authorization; probe, attack, or overload the Services or our systems; reverse engineer or copy the Services; use automated means to extract our results at scale or resell them without permission; interfere with security features; upload malicious code; or use the Services to harass, defraud, or mislead others. We may suspend or terminate access for violations.
6. Fees, Payments, and Refunds
Some features may require payment. Prices, billing intervals, and plan details are shown at purchase. Payments are processed by third-party payment providers, and you authorize us to charge your selected payment method. Paid subscriptions renew automatically until cancelled, and you may cancel at any time to stop future charges. Except where required by law or stated at purchase, fees are non-refundable. We may change prices with advance notice for future billing periods. You are responsible for applicable taxes.
7. Intellectual Property
The Services, including software, reports' format, text, graphics, and trademarks, are owned by 1-Compliance LLC or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services and to use your scan reports for your internal business purposes. You retain ownership of the content and website information you submit and grant us a license to process it to provide and improve the Services.
8. Marketing Communications
If you give us your contact details, including through a LinkedIn Lead Gen Form, we may contact you about the Services. You can opt out at any time using the unsubscribe link or by contacting us.
9. Third-Party Services
The Services may link to or integrate with third-party services, such as LinkedIn and payment processors. Those services are governed by their own terms and policies, and we are not responsible for them.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 1-COMPLIANCE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, INCLUDING ANY FINES, PENALTIES, OR CLAIMS RELATED TO YOUR WEBSITE'S COMPLIANCE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to defend and indemnify 1-Compliance LLC against claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or your scanning of a site you were not authorized to scan.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. You agree that any dispute will be brought exclusively in the state or federal courts located in Westchester County, New York, and you consent to their jurisdiction, except that either party may seek injunctive relief in any competent court to protect intellectual property.
15. Changes to These Terms
We may update these Terms from time to time. We will post the revised version with a new "Last updated" date. Continued use of the Services after changes means you accept them.
16. General
These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
